Terms of Sale

1. Who we are

TokiDoki (tokidoki.wtf) is run by Modern Stoa Limited, based in Austin, Texas (“Modern Stoa,” “we,” “us”). Modern Stoa produces some of the shows sold on TokiDoki and sells others under license from the creators who make them. Either way, Modern Stoa is the seller of every episode. These terms apply when you buy an episode and whenever you listen to it through TokiDoki. You accept them, along with our Privacy Policy, by completing your purchase. The checkout says so next to the pay buttons.

You must be at least 18 years old to buy.

2. What you’re buying: a license, not ownership

Buying an episode gets you a personal, non-exclusive, non-transferable, revocable license to listen to that episode for your own non-commercial use. You can listen on the web under My episodes, or through a private feed in the podcast app you choose. You don’t own the episode, its audio, or any rights in it. Modern Stoa, the show’s creator and its contributors keep all of those. Section 6 explains how long the license lasts.

Your podcast app may save a copy to your device so you can listen offline. That’s fine, and that copy is covered by this same license.

You may not:

• share, post, or sell your feed link, or the audio itself;
• copy, upload, redistribute, broadcast, or publicly play the episode;
• use automated tools to bulk-download from TokiDoki, or get around how access works.

3. Delivery

Access starts the moment your payment goes through. We email you a link to your purchase, and from there you can listen on the web or add your private feed to a podcast app. You sign in with a link sent to the email address you paid with. There is no password, so keeping access means keeping access to that inbox.

4. Price, payment, and tax

Prices are in US dollars, set per episode, and shown before you pay. Stripe processes payments. We never see or store your full card number. Charges appear on your statement as TOKIDOKI.WTF. The total you’ll pay, including any sales tax we charge, is shown at checkout before you pay. A later price change doesn’t affect anything you’ve already bought. If you accidentally buy an episode you already have, we refund the duplicate automatically.

5. Refunds

All sales are final. Your episode is delivered the moment you pay, so we don’t offer refunds, except where the law requires one. We may make an exception at our sole discretion. A full refund ends your access to that episode. If you have trouble playing an episode, email support@tokidoki.wtf and we’ll help. Nothing in these terms limits a right you have under a law that can’t be waived by contract.

6. How long access lasts, and changes

You keep access for as long as we operate TokiDoki, subject to these terms.

• Edits. We may edit an episode after you buy it, for example to fix audio, correct a mistake, or cut a segment for legal reasons. You get the current version.
• Episodes we stop selling. If we stop selling an episode, you keep access to it.
• Episodes we have to remove. We may have to take an episode down entirely, for instance because of a legal claim or a contributor’s rights. If that happens, your access to it ends, and there’s no refund unless the law requires one.
• If TokiDoki shuts down. We’ll email you at least 30 days before access ends. Shutting down the service doesn’t come with a refund for episodes you’ve already had access to.

7. Your feed link

Your private feed link belongs to you, and anyone who has it can listen, so keep it private. You can reset it under My episodes, which stops the old link from working. We may reset or disable a link we believe has been shared or abused. We may also suspend access that was obtained through fraud or has had its payment reversed by a chargeback. If a chargeback is resolved in our favor, or you withdraw it, email us and we’ll restore your access.

8. Podcast apps and other services

Podcast apps, including Apple Podcasts, aren’t ours. We don’t control how they fetch, store, or display episodes, and some don’t support private feeds. We aren’t responsible for how a third-party app behaves. If your app gives you trouble, the web player under My episodes always works, and we’re happy to help.

Spotify doesn’t support private podcast feeds, so episodes bought on TokiDoki can’t be played in Spotify. Before you buy, make sure you have a podcast app that supports private feeds (such as Apple Podcasts, Overcast, or Pocket Casts), or plan to listen on the web under My episodes.

9. Disclaimers

Episodes are the views of their hosts and guests. They’re for entertainment and information, not professional, medical, financial, or legal advice. To the extent the law allows, TokiDoki is provided “as is” and “as available,” without warranties of any kind, and we don’t promise it will be uninterrupted or error-free.

10. Limits on liability

To the extent the law allows, we aren’t liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim about TokiDoki is capped at the greater of (a) what you paid us in the 12 months before the claim, or (b) $100. Some places don’t allow these limits. Where that’s the case, they apply only as far as the law permits.

11. Disputes

If something goes wrong, email us first and give us 30 days to put it right. Texas law governs these terms. Any dispute goes to the state or federal courts in Travis County, Texas, and either of us may use small-claims court instead for a claim that qualifies.

12. Changes to these terms

The version and date appear at the top of this page, and every order records the version the buyer agreed to. When we update these terms, the new version applies to purchases made after it’s posted. For access you already have, it takes effect 30 days after posting. For material changes, we’ll email you.

13. General

These terms and our Privacy Policy are the whole agreement between us about TokiDoki. If a court finds any part unenforceable, the rest still applies. If we don’t enforce a term, we haven’t waived it. We may transfer these terms if TokiDoki or Modern Stoa is sold or reorganized. You may not transfer them. Neither of us is responsible for delays caused by events outside our reasonable control.
